Yukti Solutions Private Limited (“Yukti Solutions,” “we,” “us,” or “our”), a company incorporated under the Companies Act, 1956 (No. 1 of 1956), having its registered office in India, operates as a leading provider of Software-as-a-Service (SaaS) solutions and Custom Software Development services through its offices and its platform at https://yuktisolutions.com (“Website”).
The following policies govern your engagement with our services, clarify your rights and obligations, and explain our procedures regarding your personal information, payment transactions, dispute resolution, use of cookies, and adherence to international data protection standards.
By accessing or utilizing our services, you expressly agree to be bound by these terms and policies. If you do not agree, you must not use the Services.
1.1 Definitions:
- User: Any individual or legal entity who accesses or utilizes Yukti Solutions’ services; hereinafter also referred to as “You”, “Your” or “Yourself”.
- Services: The SaaS offerings, content, products, and related support delivered by Yukti Solutions.
- Account: The registered user profile created to utilize Yukti Solutions’ services.
- Personal Data: Information that identifies, relates to, describes, or can reasonably be linked to an individual.
- Cookies: Small text files stored on a user’s device to enhance the user experience and functionality of the website.
2. Eligibility
You must be at least 18 years old and capable of entering a legally binding contract under applicable Indian laws to use our Services. By using the Services, you represent and warrant that you meet these requirements.
3. Scope of Services
Yukti provides Software-as-a-Service (SaaS) solutions and custom software development services, including but not limited to cloud-based software platforms, APIs, dashboards,
analytics tools, and related support services.
The Services are provided on a subscription, contract, license, or usage-based model, as agreed with the customer.
4. Terms of Use
4.1 User Obligations
Users are required to use Yukti Solutions’ services solely for lawful purposes and in compliance with these Terms of Use. Users are responsible for safeguarding their account credentials and for any activity conducted under their account.
4.2 Account Registration
Certain features may require users to create an account by providing accurate, complete, and up-to-date information. Users must maintain and promptly update their information to ensure accuracy and completeness.
4.3 Authorized Use
The services are provided exclusively for users’ internal business use, subject to compliance with all applicable laws and regulations. Users may not sublicense, resell, or transfer access to any third party without Yukti Solutions’ prior written consent.
4.4 Prohibited Conduct
- Unauthorized access to or use of the services or data.
- Uploading or disseminating viruses, malware, or other harmful code.
- Violation of any applicable law, regulation, or third-party rights.
- Reverse engineering, decompiling, or attempting to extract source code from our software.
- Disrupting or interfering with the integrity, security, or performance of the services.
4.5 Intellectual Property Rights
All intellectual property rights in the services, content, and software are owned by Yukti Solutions or its licensors. Users are granted a limited, non-exclusive, non-transferable license to utilize the services in accordance with these terms. Unauthorized use is strictly prohibited.
4.6 Termination
Yukti Solutions reserves the right to suspend or terminate user access to the services at any time, with or without notice, for violations of these terms or for any reason deemed appropriate at our sole discretion. Upon termination, all rights granted to the user shall immediately cease.
5. Software-as-a-Service (SaaS) Usage Policy
5.1 Permitted Use
You agree to:
- Use the Services solely for lawful business or personal purposes.
- Access the Services only through authorized credentials.
- Comply with all applicable laws, regulations, and industry standards.
5.2 Prohibited Use
You shall not:
- Reverse engineer, decompile, or disassemble the software.
- Copy, modify, or create derivative works of the Services.
- Use the Services to transmit malicious code, spam, or unlawful content.
- Attempt unauthorized access to systems, servers, or networks.
- Resell, sublicense, or commercially exploit the Services without written consent.
5.3 Fair Usage
Yukti reserves the right to enforce fair usage limits to prevent excessive or abusive usage that may impact system performance or other users.
6. Account Registration and Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities carried out under your account. You must notify us immediately of any unauthorized use.
7. Fees and Payments
- Fees are charged as per the agreed pricing plan
- All payments shall be made in advance unless otherwise specified
- Prices are exclusive of applicable taxes, including GST
Yukti reserves the right to revise pricing with prior notice.
8. Refund and Cancellation Policy
8.1 Refund Eligibility
Refunds may be issued for eligible subscription payments when technical issues or service dissatisfaction occur, provided the refund request is submitted within 14 days of the payment date. Refunds are not available for usage after the trial period or for fully consumed services.
8.2 Subscription Cancellation
You may cancel your subscription at any time as per the cancellation terms applicable to your plan. Cancellation will be effective at the end of the current billing cycle.
8.2.1 Refund Policy
- Subscription fees are non-refundable, except where explicitly stated in a written agreement or required by applicable law
- No refunds shall be provided for partial usage periods, unused credits, or early termination
- Refunds, if approved, will be processed within 7–14 business days
8.2.2 Free Trials
If a free trial is offered, no charges will apply until the trial period ends. Once converted to a paid plan, the refund policy will apply.
8.3 Refund Process
To request a refund, please contact support@yuktisolutions.com with your account information, payment reference, and the reason for your request. All refund requests will be reviewed, and users will be notified of the outcome within 7 business days.
8.4 Refund Timelines
Approved refunds will be processed within 10 business days to the original payment method.
8.5 Exceptions
- No refunds will be issued for services used or subscriptions after the 14-day window.
- No refunds will be granted in cases of Terms of Use violations or abuse of the platform.
8.6 Refund Dispute Resolution
If you wish to contest a refund decision, you may escalate the matter in accordance with the Arbitration Clause or contact our support team at support@yuktisolutions.com
8.6.1 Arbitration Clause
1. Dispute Resolution Process
All disputes, controversies, or claims arising from these policies or the use of Yukti Solutions services shall first be addressed through amicable negotiations. Should the parties fail to resolve the dispute within 30 days, the matter shall be submitted to binding arbitration.
8.7 Governing Law
These policies are governed by and construed in accordance with the laws of India.
8.8. Arbitration Procedures
Arbitration will be conducted by a sole arbitrator jointly appointed by both parties in accordance with the Arbitration and Conciliation Act, 1996. The seat of arbitration shall be New Delhi, India. The language of arbitration shall be English.
8.9 Jurisdiction
Subject to the arbitration clause above, the courts of New Delhi will retain exclusive jurisdiction over any matters not subject to arbitration.
9. Intellectual Property Rights
All intellectual property rights in the Services, including software, trademarks, logos, content, and documentation, are owned by or licensed to Yukti Solutions. No rights are granted except as expressly stated.
10. Data Ownership
You retain ownership of all data you upload or generate using the Services ("Customer Data"). You grant Yukti Solutions a limited license to process such data solely for providing the Services.
11. Confidentiality
Both parties agree to maintain the confidentiality of proprietary and confidential information and not disclose it to third parties except as required by law.
12. Service Availability and Support
While we strive for high availability, Yukti Solutions does not guarantee uninterrupted or error-free Services. Scheduled maintenance and emergency downtime may occur.
13. Limitation of Liability
To the maximum extent permitted by law, Yukti shall not be liable for indirect, incidental, special, or consequential damages, including loss of profits, data, or business opportunities.
Yukti Solutions' total liability shall not exceed the fees paid by you in the preceding 12 months.
14. Indemnification
You agree to indemnify and hold harmless Yukti Solutions from any claims, damages, or losses arising out of your misuse of the Services or violation of these Terms.
15. Termination
Yukti Solutions may suspend or terminate access to the Services if you breach these Terms. Upon termination, your right to use the Services will immediately cease.
16. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of India. Courts located in India shall have exclusive jurisdiction.
17. Changes to Terms
Yukti Solutions may update these Terms from time to time. Continued use of the Services constitutes acceptance of the revised Terms.
